Mahindra & Mahindra Restructures Defence Units Through Internal Stake Transfers

Mahindra & Mahindra is restructuring its defence businesses by shifting stakes among its own subsidiaries. The move brings MEVA, MTISL, and MDSL under Mahindra Advanced Technologies in a internal realignment

Mahindra & Mahindra Defence Units: Mahindra & Mahindra Ltd has decided to reorganize its defence business by moving ownership of some of its companies from one group arm to another. The company signed several share purchase deals on June 25, which will shift control of a few key defence units between its fully owned subsidiaries. The process is expected to finish by September 23.

As part of this internal shift, Mahindra Defence Systems Ltd (MDSL) will sell its complete holding in Mahindra Emirates Vehicle Armouring FZ LLC (MEVA) and Mahindra Telephonics Integrated Systems Ltd (MTISL) to Mahindra Advanced Technologies Ltd (MATL). Along with this, Mahindra & Mahindra will transfer all its stake in MDSL itself to MATL.

Once the deal is done, MEVA and MTISL will directly come under the ownership of MATL, while MDSL will become an indirect unit of Mahindra & Mahindra through MATL, reported CNBC TV18. Also, MEVA’s own subsidiary, Mahindra Armored Vehicles Jordan LLC, will be brought under MATL’s control as part of this new structure.

Mahindra & Mahindra Share Deals Value Units

MEVA earned ₹90.09 crore in revenue during FY25, but this only added about 0.06% to Mahindra Group’s total revenue. MTISL added just 0.04%, while MDSL made a stronger impact with 0.60% of the group’s turnover. According to the company, MEVA was sold for ₹33.66 crore, while MTISL was valued at ₹4.53 crore.

The shift of MDSL was handled differently. Instead of using cash, Mahindra did a share swap, which valued the business at ₹1,218.16 crore. This means no money was exchanged, but shares were moved to complete the transfer.

All companies involved in the transaction MDSL, MEVA, MTISL, and MATL are related parts of the Mahindra Group. The company made it clear that this entire reshuffle is only part of an internal change and doesn’t involve any court-approved scheme or legal restructuring plan.
